Terms of Service

By accessing or using the Arab Union Investors Club platform at elarabclub.com ("Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and Cookie Policy. If you do not agree to these Terms, you must immediately cease use of the Platform.

These Terms constitute a legally binding agreement between you and Arab Union Investors Club FZ-LLC, a company registered in the Dubai International Financial Centre, United Arab Emirates ("AUI Club", "we", "our", or "us").

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or Platform notification. Continued use after the effective date constitutes acceptance.

To use the Platform you must: • Be at least 18 years of age • Have the legal capacity to enter binding contracts • Not be prohibited from using the Platform under applicable law

When registering, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately at security@elarabclub.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in conduct we deem harmful to the Platform or other users.

The Platform provides a marketplace and networking environment for investors, business owners, brokers, freelancers, and other professionals operating in or targeting the MENA region. By using the Platform, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms • Not post false, misleading, or fraudulent business or investment information • Not impersonate any person or entity, or misrepresent your affiliation • Not engage in unsolicited commercial communications ("spam") to other members • Not attempt to circumvent the Platform's fee or commission structure by conducting off-platform transactions discovered through AUI Club • Not upload or transmit malicious code, viruses, or any software intended to damage Platform infrastructure • Not scrape, harvest, or systematically collect data from the Platform without prior written consent • Not use the Platform to promote illegal investment schemes, pyramid structures, or unregistered securities

Users may create listings for businesses for sale, investment projects, investor profiles, and service offerings. By submitting content to the Platform, you:

• Warrant that you own or have the right to post such content • Grant AUI Club a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the Platform • Accept responsibility for the accuracy and legality of your content

AUI Club does not verify all listing information. While we conduct verification procedures for certain premium listings, users are solely responsible for conducting their own due diligence on any investment opportunity. We reserve the right to remove any content that violates these Terms or applicable law, without notice.

IMPORTANT: AUI Club is a marketplace and networking platform. We are NOT a licensed investment advisor, broker-dealer, or financial institution.

Nothing on the Platform constitutes investment advice, financial advice, legal advice, or a recommendation to buy, sell, or hold any investment. All information is provided for informational purposes only.

Investment in businesses carries significant risk, including total loss of capital. Past performance shown in any listing does not guarantee future results. You should:

• Conduct independent due diligence before making any investment decision • Consult qualified legal, financial, and tax advisors • Independently verify all information provided by other Platform users

AUI Club does not endorse, guarantee, or take responsibility for the accuracy of any listing, the solvency of any business, or the success of any transaction facilitated through the Platform.

Certain Platform features require paid subscriptions or transaction fees as set out in our current pricing schedule available at elarabclub.com/pricing.

All fees are stated in USD unless otherwise indicated. Applicable taxes may be added. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law.

We reserve the right to modify our fee structure with 30 days' prior notice. Continued use after the fee change takes effect constitutes acceptance of the new pricing.

All Platform content, features, functionality, trademarks, logos, and software are owned by AUI Club or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform content without our express written permission. Unauthorized use of AUI Club trademarks or brand assets is strictly prohibited.

User-generated content remains the property of the respective user, subject to the license granted to AUI Club under Section 4.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

AUI Club and its officers, directors, employees, and agents shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Any investment losses or financial harm arising from Platform use • Any disputes between Platform users • Any unauthorized access to or alterations of your account

In no event shall AUI Club's total aggregate liability exceed the greater of (a) the total fees paid by you to AUI Club in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless AUI Club and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform • Your violation of these Terms • Your violation of any applicable law or regulation • Your infringement of any third-party rights • Any content you submit to the Platform

These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by binding arbitration under the DIFC-LCIA Arbitration Rules, with the seat of arbitration in Dubai, UAE. The arbitration shall be conducted in English by a single arbitrator.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

We may suspend or terminate your account and access to the Platform at our discretion, with or without notice, for conduct that we determine violates these Terms, applicable law, or is harmful to the Platform, other users, or third parties.

You may terminate your account at any time by contacting support@elarabclub.com. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will do so, including Sections 5, 7, 8, 9, and 10.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AUI Club regarding the Platform.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision does not constitute a waiver.

You may not assign your rights or obligations under these Terms without our prior written consent. AUI Club may freely assign its rights.
